GENERAL USE RESTRICTIONS

Reviews.com provides to Reviewers indices of and access to articles, writing tools and other services through the Reviewer's Site. All information, documents, products and services provided on and through the Reviewer's Site, including content, trademarks, logos, graphics and images (collectively, the "Materials") are provided to you by Reviews.com and are the copyrighted work of Reviews.com or Reviews.com's partners.

Reviews.com grants you a limited, personal, non-exclusive and non-transferable license to use and to display the Materials only on your personal computer to create works for Reviews.com or its partner's publications. You acknowledge and agree that, except for works that you are in the process of writing as a reviewer, that have not yet been submitted to Reviews.com, you have no right to modify, edit, copy, reproduce, create derivative works of, alter, enhance or in any way exploit any of the Materials in any manner. This limited license terminates automatically, without notice to you, if you breach any of these Terms. Upon termination of this limited license, you agree to immediately destroy any downloaded or printed Materials. Except as stated herein, you acknowledge that you have no right, title or interest in or to the Reviewer's Site or any Materials on any legal basis. Certain information and content may be provided by third parties under license to Reviews.com ("Third Party Content"). The Third Party Content is, in each case, the copyrighted work of the creator/licensor.

You confirm that you have signed the ACM Reviewer Copyright Agreement and agree to abide by its terms.

You represent and warrant that you possess the legal right to use the Site in accordance with the stated terms and usage policies.

If you violate these Terms, Reviews.com reserves the right to terminate service to you without notice. Reviews.com's preferred course of action is to advise you of your inappropriate behavior and recommend any necessary corrective action. However, flagrant violations of these Terms, as determined by Reviews.com in our sole discretion, will result in immediate termination of service. You understand that Reviews.com has the right to terminate any account for any reason that Reviews.com interprets as an abuse of the account.

Any action related to these Terms will be governed by California law and controlling U.S. federal law, without regard to the choice or conflicts of law provisions of any jurisdiction. You agree to submit to the jurisdiction of the courts located in San Francisco County, in the State of California, for the resolution of all disputes arising from or related to these Terms and/or your use of the Reviewer's Site.

If any provision of these Terms is held by a court of competent jurisdiction to be contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties, with all other provisions remaining in full force and effect. The failure of Reviews.com to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Reviews.com in writing. The Terms comprise the entire agreement between you and Reviews.com and supersede all prior or contemporaneous negotiations, discussions or agreements, if any, between the parties regarding the subject matter contained herein.
